The decisions to make on day one when forming a company in Hungary

Registering a company in Hungary is quick, often a matter of days once the documents are ready. That is the problem: the speed hides the fact that several decisions taken in the first hour are difficult and expensive to change later.

The scope of activity

It is tempting to register broadly, on the theory that more is safer. Some activities require a licence, and listing them commits you to conditions you may not meet at formation. Others carry sector-specific reporting or tax consequences whether or not you ever pursue them. The right approach is to register what you will actually do in the first two years and add activities later, which under the Companies Act (Ctv., 2006. évi V. törvény) is a routine change filing rather than a fresh registration.

Who signs

Hungarian company law distinguishes sole representation (önálló képviselet) from joint representation (együttes képviselet) for a managing director, and the choice, set out in the articles of association under the Civil Code's company-law provisions, determines whether one director can bind the company alone. Foreign parents frequently default to sole representation because it is faster to set up and simpler to operate day to day, then discover they have created a control gap between the Budapest entity and the group, with no second signature required for anything the local director decides to sign. Joint representation is not an inconvenience. It is a control mechanism, and it costs nothing to build in at formation.

The registered seat, and where official mail actually goes

A registered seat is not merely an address. Under section 7 of the Companies Act, it must be a property the company owns or is entitled to use, and proof of that entitlement is required at registration. For most day-to-day official contact, though, a registered Hungarian company is required to communicate electronically through its company gateway (Cégkapu), and documents sent there are deemed delivered a fixed number of business days after a second notification, whether or not anyone opens them. The registered seat remains the fallback address for anything that still arrives on paper, and the address the tax authority and process servers use when Cégkapu is not the channel. An arrangement that does not actively monitor both channels is a liability, not a saving.

Identify the beneficial owner correctly from day one

Since the central beneficial owner register (2021. évi XLIII. törvény) came into operation, a natural person holding, directly or indirectly, at least 25% of the voting rights or ownership share must be identified as a beneficial owner, and the company's bank reports that data to the tax authority. Getting the ownership chain right at formation, rather than reconstructing it later when a bank or a counterparty asks, avoids a delay that has nothing to do with the substance of the business.

The articles beyond the statutory minimum

The standard-form articles available for a fast-track registration are adequate for a single-owner company and inadequate for almost anything else. If there are two or more owners, the questions worth settling now, while everyone is aligned, are transfer restrictions on the business share, what happens at deadlock between owners with equal votes, what happens on an owner's exit, and who appoints and can remove the managing director. These are cheap to agree at formation and extremely expensive to negotiate once a disagreement has already started.
